Terms of Service

1. Introduction

Welcome to Golem. These Terms of Service ("Terms") govern your access to and use of Golem, a desktop application for automating video editing workflows in DaVinci Resolve Studio (the "Service"). The Service is operated by Golem - AI Video Editing Assistant ("we", "us", or "our"), located in Ukraine.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Account Registration and Subscription

2.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

2.2 Subscription Plans

Golem offers multiple subscription tiers:

• Free Tier: Basic workflow automation features at no cost
• Paid Tiers: Advanced automation features available through monthly or annual subscriptions

Subscription pricing and features are detailed on our website and may change with reasonable notice.

2.3 Billing and Payment

• Subscriptions are billed in advance on a recurring basis (monthly or annually)
• All payments are processed securely through our payment processor, Paddle
• You authorize us to charge your selected payment method for the applicable subscription fees
• Failure to pay may result in suspension or termination of your account

2.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You can cancel your subscription at any time through your account settings.

We will send you an email reminder at least 7 days before your subscription renews, giving you the opportunity to cancel if desired.

2.5 Refunds

We offer a 30-day money-back guarantee for all paid subscriptions. For complete details, see our Refund Policy.

3. User Obligations

You agree to:

• Use the Service only for lawful purposes and in compliance with these Terms
• Not reverse engineer, decompile, or disassemble the Service
• Not use the Service to infringe upon intellectual property rights of others
• Not attempt to gain unauthorized access to any portion of the Service
• Not use the Service in any manner that could damage, disable, or impair our servers or networks

4.1 Sanctions Compliance

You represent and warrant that:

• You are not located in, or a resident of, a country subject to comprehensive international sanctions (including but not limited to Russia, Belarus, North Korea, Iran, Syria, Cuba)
• You are not on any government sanctions list (EU, US, UN)
• Your use of the Service does not violate any applicable export control or sanctions laws

We reserve the right to suspend or terminate accounts in sanctioned jurisdictions without notice or refund.

4. Intellectual Property

4.1 Ownership

The Service, including all software, text, graphics, logos, and other content, is owned by Golem - AI Video Editing Assistant and protected by copyright, trademark, and other intellectual property laws.

4.2 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Golem desktop application on devices you own or control
• Use the Service for your personal or business purposes in accordance with your subscription plan

This license does not grant you any rights to:

• Resell, redistribute, or sublicense the Service
• Use the Service to create derivative works
• Remove or modify any proprietary notices

4.3 User Content

You retain ownership of any content you create using the Service. We do not claim ownership of your video projects, timelines, or other creative works.

5. DaVinci Resolve Integration

Golem integrates with DaVinci Resolve Studio via the Workflow Integration API.

• You must have a valid license for DaVinci Resolve Studio to use Golem
• We are not affiliated with, endorsed by, or sponsored by Blackmagic Design
• DaVinci Resolve is a trademark of Blackmagic Design Pty Ltd
• Any issues with DaVinci Resolve itself should be directed to Blackmagic Design support

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• That the Service will be uninterrupted, secure, or error-free
• That any defects will be corrected

We do not guarantee that the Service will meet your requirements or that it will be compatible with all versions of DaVinci Resolve.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GOLEM - AI VIDEO EDITING ASSISTANT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Damages arising from your use or inability to use the Service

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above limitations may not apply to you.

9. Termination

9.1 By You

You may terminate your account at any time by:

• Canceling your subscription through account settings
• Contacting us at support@golem.video

Upon cancellation, you will retain access until the end of your current billing period.

9.2 By Us

We may suspend or terminate your account immediately if:

• You breach these Terms
• Your payment method fails or cannot be verified
• We are required to do so by law
• We decide to discontinue the Service (with reasonable notice)

9.3 Effect of Termination

Upon termination:

• Your license to use the Service ends immediately
• You must cease all use of the Service and delete the application
• We may delete your account data in accordance with our Privacy Policy

10. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will:

• Notify you via email or through the Service
• Provide at least 30 days' notice before changes take effect

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Ukraine, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through:

1. Good faith negotiation between the parties
2. If negotiation fails, binding arbitration in accordance with Ukrainian law

For EU Consumers: Nothing in these Terms affects your statutory rights under EU consumer protection laws, including your right to bring legal action in your country of residence.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

12.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

12.5 Force Majeure

We shall not be liable for any failure or delay in performance of the Service due to circumstances beyond our reasonable control, including but not limited to:

• Acts of war, terrorism, civil unrest, or military operations
• Natural disasters, pandemics, or government-mandated restrictions
• Electricity outages, internet service disruptions, or infrastructure failures
• Actions or omissions of third-party service providers

In such events, our obligations will be suspended for the duration of the force majeure event, and we will make reasonable efforts to restore the Service as soon as practicable.
